1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the ShifaNext platform, including our website, mobile applications, and related services (collectively, the “Service”), operated by ShifaNext (Pvt) Ltd, a subsidiary of Ideamath Solutions (Pvt) Ltd (“ShifaNext,” “we,” “us,” or “our”). By creating an account, booking an appointment, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Definitions

  • Patient: a user who books and attends consultations to seek healthcare guidance.
  • Doctor: an independent, licensed medical professional who offers consultations through the Service.
  • Consultation: a scheduled video, audio, or text interaction between a Patient and a Doctor facilitated by the Service.
  • Content: any text, images, documents, prescriptions, or other materials submitted through or generated by the Service.

3. Not for Medical Emergencies

The Service is not intended for medical emergencies. If you are experiencing a medical emergency, a life-threatening condition, or thoughts of self-harm, call your local emergency services or go to the nearest emergency department immediately. Do not rely on the Service for urgent or emergency care.

4. Nature of the Service

ShifaNext is a communication platform that facilitates connections between Patients and independent, licensed Doctors. ShifaNext is not a healthcare provider, hospital, pharmacy, or insurer, and does not practice medicine or provide medical advice.

  • Doctors are independent practitioners solely responsible for the medical advice, diagnoses, prescriptions, and care they provide.
  • Any doctor–patient relationship is formed exclusively between you and the Doctor, not with ShifaNext.
  • ShifaNext does not endorse, recommend, or guarantee the quality, suitability, or outcome of any consultation or treatment.

5. Eligibility

You must be at least 18 years old to create an account. Minors may use the Service only through and under the supervision of a consenting parent or legal guardian who accepts these Terms on their behalf. By using the Service, you represent that the information you provide is accurate and that you have the legal capacity to enter into these Terms.

6. Accounts & Security

To access most features you must register for an account using a valid email address, phone number, or a supported third-party sign-in (such as Google). You are responsible for:

  • Maintaining the confidentiality of your credentials and any one-time codes.
  • All activity that occurs under your account.
  • Promptly notifying us of any unauthorized use or suspected security breach.

We may require multi-factor authentication for certain accounts and may suspend accounts that show signs of compromise or misuse.

7. Doctor Obligations

Doctors who offer services on the platform represent and warrant that they:

  • Hold and maintain valid licenses, registrations, and credentials required to practice medicine in the relevant jurisdiction.
  • Provide accurate professional information and keep their availability and qualifications up to date.
  • Deliver care in accordance with applicable laws, professional standards, and medical ethics.
  • Are solely responsible for any prescriptions, referrals, and clinical decisions they make.

8. Appointments & Consultations

Patients may book appointments based on Doctor availability shown in the Service. Consultations are conducted through our ephemeral video and messaging infrastructure. You agree to attend booked consultations on time and to provide honest, complete information so that the Doctor can offer appropriate guidance. Doctors may decline or terminate a consultation where it is clinically inappropriate, outside their scope, or where the patient is abusive.

9. Fees, Payments & Billing

Consultation fees are set per Doctor and displayed before you confirm a booking. By confirming an appointment, you authorize us and our payment processor to charge the applicable fee.

  • Charge upfront: consultation fees are charged at the time of booking to reserve the Doctor’s time.
  • Platform fees: the total amount you pay may include a service or platform fee in addition to the Doctor’s consultation fee. The total payable is always shown before payment.
  • Payment processing: payments are handled by third-party payment providers (such as Safepay). We do not store your full card details; they are processed by PCI-DSS-compliant providers.
  • Doctor payouts: amounts owed to Doctors, net of platform fees and applicable taxes, are settled to Doctors according to our payout schedule.

All fees are stated in Pakistani Rupees (PKR) unless otherwise indicated, and are exclusive of any taxes that may apply.

10. Cancellations & Refunds

Because fees are charged upfront, refunds are governed by the following principles:

  • If a Doctor cancels, fails to attend, or the consultation cannot proceed due to a fault on our or the Doctor’s side, you are eligible for a full refund.
  • If you cancel a booked consultation at any time before it begins, you are refunded in full. There is no cancellation fee.
  • No-shows by the Patient are not automatically refundable.
  • Approved refunds are returned to your original payment method via our payment processor and may take several business days to appear.

11. Prescriptions

Where clinically appropriate, a Doctor may issue a digital prescription, which is made available to you through the Service. Prescriptions are issued at the sole professional discretion of the Doctor; ShifaNext does not influence whether a prescription is issued. You are responsible for using prescriptions lawfully and for presenting them to a licensed pharmacy. ShifaNext does not dispense medication.

12. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, abusive, or harassing purpose.
  • Impersonate any person, misstate your identity, or provide false medical or professional information.
  • Record, copy, or redistribute consultations without the explicit consent of all participants and as permitted by law.
  • Attempt to gain unauthorized access to the Service, interfere with its operation, or circumvent security or payment controls.
  • Upload malicious code or content that infringes the rights of others.

13. Intellectual Property

The Service, including its software, design, trademarks, and content (excluding user-submitted Content and Doctor-provided medical content), is owned by ShifaNext or its licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of the Content you submit but grant us a limited license to process it solely to operate and provide the Service.

14. Third-Party Services

The Service relies on trusted third-party infrastructure, including Firebase (authentication and data), LiveKit (ephemeral video infrastructure), and payment processors such as Safepay. Your use of these features may also be subject to those providers’ terms. We are not responsible for the acts, omissions, or outages of third-party providers.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the data practices described there.

16. Disclaimers & Limitation of Liability

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. ShifaNext does not warrant that the Service will be uninterrupted, error-free, or secure, and does not guarantee any particular medical outcome.

To the maximum extent permitted by law, ShifaNext and Ideamath Solutions (Pvt) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any medical decision, diagnosis, treatment, or advice provided by a Doctor. Our total aggregate liability arising out of or relating to the Service shall not exceed the amount of fees you paid through the Service in the three (3) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless ShifaNext, Ideamath Solutions (Pvt) Ltd, and their officers, employees, and partners from any claims, damages, liabilities, and expenses arising out of your use of the Service, your Content, your violation of these Terms, or your violation of any rights of a third party.

18. Suspension & Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, create risk or legal exposure, or misuse the Service. You may stop using the Service and request account deletion at any time. Provisions that by their nature should survive termination (including payment obligations, disclaimers, and limitations of liability) will survive.

19. Governing Law & Disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. The courts located in Pakistan shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date above and, where appropriate, notify you through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
